This paper examines how risk and uncertainty are incorporated into the valuation of oil and gas exploration and production assets, with a particular focus on early-stage projects where uncertainty is most pronounced. In transactions, joint ventures, and capital allocation decisions, valuation serves as a central decision-support tool; however, differences in how risk and uncertainty are defined, quantified, and communicated frequently lead to misalignment among counterparties. Drawing on both academic literature and interviews with industry practitioners, the paper highlights a persistent gap between theoretically preferred approaches and real-world practice. Academic literature generally emphasizes probabilistic modeling, explicit treatment of uncertainty within cash flows, and the valuation of managerial flexibility. In contrast, industry practice remains heterogeneous, often relying on deterministic models, standardized discount rates, and organization-specific constraints, reflecting practical limitations related to data, time, governance, and decision-making processes. The paper also identifies recurring sources of confusion that can materially affect valuation outcomes, including inconsistent use of terminology (particularly with respect to valuation, risk versus uncertainty, and reserves versus expected production), as well as the potential for unintentionally embedding conservatism in multiple components of a valuation. Based on these findings, the paper outlines practical observations to assist negotiators and valuation practitioners in diagnosing differences in valuation, distinguishing methodological from substantive disagreements, and improving transparency in valuation discussions. Rather than advocating for a single methodological approach, the paper emphasizes the importance of understanding both theoretical frameworks and practical constraints, enabling more informed interpretation of valuations and more effective structuring of agreements in the presence of uncertainty.
