AIEN Publishes 2025 Model LNG Sale & Purchase Agreement FOB
The Board of Directors of the Association of International Energy Negotiators (AIEN) is pleased to announce the publication of its 2025 Model LNG SPA (FOB).
This LNG SPA addresses the sale and purchase of LNG on a long-term FOB basis, providing the LNG industry with a neutral agreement appropriate for long term buyers, producers, and portfolio aggregators.
The LNG SPA is intended to be used for long-term sales of LNG on an FOB basis, from either an existing or yet to be constructed LNG export terminal. The agreement provides the flexibility to specify the source of supply and conditions precedent to suit the needs of the particular transaction. Consistent with other AIEN model forms, the LNG SPA is intended to reflect an overall balance between Buyer and Seller interests, and to be sufficiently flexible to be used for trades in any geographical region. The options and alternatives included in the LNG SPA provide Buyers and Sellers with the flexibility to tailor the agreement to meet their needs, while recognizing that not all options will be suitable or market standard for sales into every jurisdiction. The LNG SPA is accompanied by a set of Guidance Notes designed to assist and inform drafters and negotiators.
The publication of the 2025 LNG SPA concludes an industry-wide effort spanning more than six years. Led by co-chairs James English (Bryan Cave Leighton Paisner) and Patricia Tiller (Bracewell), the drafting committee included more than 400 industry professionals from 69 countries.
The new agreement, guidance notes, MOU and user guide, are available for download free for AIEN members. Non-members may purchase the set for $250.
